A: A responsible person is an individual or group of people (there may be more than on responsible person) who had the duty to perform and the power to direct the collection and payment of trust fund taxes. A responsibly person may be:

  • an officer or an employee of a corporation,
  • a member or employee of a partnership,
  • a corporate director or shareholder,
  • a member of a board of directors of a nonprofit organization, or
  • another person with authority and power to direct the disbursement of funds.
